Terms of Service

1. Acceptance of Terms

By accessing or using Residual (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Residual.

2. Description of Service

Residual is a personal finance application that helps users manage their money through zero-based budgeting. The Service includes AI-powered budget setup, envelope-style spending buckets, and real-time bank account synchronization via Plaid. Residual is currently in pre-launch and features may change before and after general availability.

3. Account Registration

To use the Service you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Transmit any harmful, fraudulent, or deceptive content.
  • Attempt to gain unauthorized access to the Service or its underlying systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.

5. Third-Party Services (Plaid)

Residual connects to your financial institutions through Plaid Technologies, Inc. ("Plaid"). By linking a bank account you agree to Plaid's End User Privacy Policy (available at plaid.com). Your bank credentials are transmitted directly to Plaid and are never stored by Residual. We are not responsible for the availability, accuracy, or actions of Plaid or any other third-party service.

6. No Financial Advice

The Service, including any AI-generated suggestions, budgets, or insights, is provided for informational and organizational purposes only. Nothing in the Service constitutes financial, investment, tax, or legal advice. Always consult a qualified professional before making financial decisions.

7. Subscription & Billing

Residual may offer free and paid subscription tiers. Specific pricing, billing cycles, and refund policies will be communicated to you before any charge is made. All fees are in US dollars unless otherwise stated. We reserve the right to change pricing with reasonable notice to existing subscribers.

8. Intellectual Property

All content, software, and technology comprising the Service is owned by or licensed to Residual and is protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features. You retain ownership of any data you provide to the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESIDUAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may delete your account at any time through the account settings. Upon termination, your right to use the Service ceases immediately.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and notify you by email or in-app notice for material changes. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
